Terms of Service

1. Introduction

Welcome to RenoPilot ("RenoPilot", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website, web application, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Eligibility and Accounts

2.1 Eligibility

You may use the Service only if you are at least 18 years old and have the legal capacity to enter into a binding contract under applicable law.

2.2 Account Registration

When you create an account, you must provide accurate, complete, and current information at all times. You are responsible for keeping this information updated.

2.3 Account Security

You are responsible for safeguarding the password and credentials that you use to access the Service and for any activities or actions under your account, whether or not you have authorized such activities. You must notify us immediately at support@renopilot.org of any unauthorized use of your account or any other breach of security.

3. License and Acceptable Use

3.1 License

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal project-management purposes.

3.2 Restrictions

You agree not to:

  • copy, modify, or create derivative works of the Service;
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
  • use the Service to build a competing product or service;
  • use the Service in any unlawful, fraudulent, or abusive manner;
  • interfere with or disrupt the integrity or performance of the Service.

4. Subscriptions, Trials and Payments

4.1 Subscriptions

Some parts of the Service are provided on a paid subscription basis ("Subscription"). Subscription plans (e.g. monthly, 6-month, yearly) and pricing are described on our pricing page or in the purchase flow.

4.2 Billing Cycle and Auto-Renewal

You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the Subscription plan you select.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless:

  • you cancel it through your account settings, or
  • we notify you of changes to the plan or pricing, or
  • RenoPilot cancels your Subscription.

4.3 Free Trial

We may, at our sole discretion, offer a free trial for a limited period. We reserve the right to:

  • determine your eligibility for a trial, and
  • modify or terminate the trial at any time without prior notice.

4.4 Price Changes

We may change Subscription fees at any time. Any price changes will apply only from the next Billing Cycle and after we provide you with reasonable prior notice, giving you the opportunity to cancel before the new price takes effect.

4.5 Payments and Taxes

You authorize us (and our payment processors, such as Stripe) to charge all applicable Subscription fees, taxes, and charges to your selected payment method. You are responsible for any applicable taxes (e.g. VAT), except for taxes based on our income.

4.6 Refunds

Except where required by applicable law, payments are non-refundable. This includes situations where you:

  • cancel during an active Billing Cycle, or
  • do not use the Service during a period for which you have paid.

We may, at our sole discretion, offer goodwill refunds or credits in specific cases, but this does not create an obligation to do so in the future.

5. User Content

5.1 Responsibility for Content

Our Service allows you to post, upload, link, store, and share information, including project data, room plans, notes, contractor information, expenses, attachments (such as receipts) and other materials ("Content").

You are solely responsible for:

  • the Content you submit or store in the Service, and
  • ensuring that it is legal, reliable, and appropriate.

5.2 Ownership of Content

You retain all rights to the Content you create or upload. We do not claim ownership of your Content.

5.3 License to RenoPilot

By uploading or submitting Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display such Content solely for the purpose of providing and improving the Service.

5.4 Prohibited Content

You agree not to upload or share Content that:

  • violates any law or regulation;
  • infringes or misappropriates the rights of others;
  • contains malicious code (viruses, malware, etc.);
  • is abusive, defamatory, or otherwise inappropriate for a professional service.

6. Intellectual Property

6.1 Our IP

The Service, including all software, design, text, graphics, logos, and other materials (excluding your Content), is owned by RenoPilot or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 No Transfer of Ownership

Nothing in these Terms transfers any ownership rights in the Service or our intellectual property to you. You receive only the limited license described in Section 3.

6.3 Feedback

If you provide feedback, ideas, or suggestions about the Service ("Feedback"), you agree that we may use such Feedback without restriction or obligation to you.

7. Third-Party Services and External Planners

7.1 Third-Party Links

The Service may contain links to third-party websites or services (for example, external room/space planners or design tools). These are provided for convenience only.

7.2 No Control over Third-Party Services

We do not control and are not responsible for:

  • the content, functionality, or availability of third-party services, or
  • any data you provide directly to those third parties.

Your use of third-party services is governed solely by their own terms and privacy policies.

7.3 Importing or Referencing External Plans

If the Service allows you to attach links or reference external plans (e.g. plans created in third-party planners), you are responsible for:

  • ensuring you have the right to use such materials, and
  • complying with the third-party's terms of use.

8. No Professional Advice / Use at Your Own Risk

The Service is a project and renovation management tool. Any suggestions, estimates, or calculations (including approximate budgets or counts of engineering points) are provided for informational purposes only.

We do not provide:

  • engineering, architectural, construction, legal, tax, or financial advice, or
  • guarantees that suggested numbers or structures are sufficient for any specific project.

You are responsible for verifying all data and decisions with qualified professionals where necessary.

9. Service Availability and Changes

9.1 Availability

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, upgrades, or technical issues.

9.2 Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time, including features, plans, or interfaces, with or without notice, provided that:

  • for paid Subscriptions, we will make reasonable efforts not to materially reduce core functionality during an active paid period without prior notice.

10. Termination

10.1 By You

You may stop using the Service at any time. You can cancel your Subscription through your account settings; cancellation will take effect at the end of the current Billing Cycle.

10.2 By Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if:

  • you breach these Terms, or
  • your use creates a risk for us or other users, or
  • we are required to do so by law.

10.3 Effects of Termination

Upon termination:

  • your right to use the Service will cease immediately;
  • we may delete or anonymize your Content after a reasonable period, subject to our legal obligations and internal policies.

11. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • the Service will be uninterrupted, secure, or error-free;
  • any data or results obtained through the Service will be accurate, complete, or reliable.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall RenoPilot, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any:

  • indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses,

resulting from:

(i) your access to or use of or inability to access or use the Service;
(ii) any conduct or content of any third party on the Service;
(iii) any content obtained from the Service; or
(iv) unauthorized access, use, or alteration of your transmissions or content.

To the extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service or these Terms shall not exceed the greater of:

  • the amount you paid to us for the Service during the twelve (12) months preceding the event giving rise to the claim, or
  • EUR 100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless RenoPilot and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way related to:

  • your use of the Service,
  • your Content, or
  • your violation of these Terms or applicable law.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Kyiv, Ukraine.

15. Changes to These Terms

We may modify or replace these Terms at any time. If a revision is material, we will use reasonable efforts to provide at least 30 days' notice before new terms take effect (for example, by email or in-app notifications).

Your continued use of the Service after the revised Terms become effective means that you accept the changes. If you do not agree to the new Terms, you must stop using the Service.
